(“VMware”), EMC Corporation, authorized the aggregate size of VMware's 2014 equity grants through March 2014 in accordance with VMware's Amended and Restated Certificate of Incorporation, in an action by written consent pursuant to Section 228 of the Delaware General Corporation Law.
